Overview of Inphase Web Hosting Agreement

This Agreement governs Customer’s use of Inphase Web hosting services.

The Domain Policy is part of the Inphase Website Hosing & Design Policies of which the AUP governs the use of our website or websites. The Domain Policy does not intend to contradict, ignore, nor circumvent the AUP. Nor does the AUP intend to contradict, ignore, or circumvent the Domain Name Policy.

By using Inphase Website Hosting & Design domain services, either by means of this website or by any other means, the customer enters into an agreement with Inphase and becomes bound by this policy.

 

Definition of Policy Terms

Inphase Website Hosting & Design may be referred to as we, our, us, company, or Inphase. Our customers may be referred to by terms as you, your, client, customer or user.

This policy may be referred to as policy, agreement, or contract.

 

Description of Website Hosting Services

Standard Website hosting is defined as the provision of a server computer that is integrated into the World Wide Web and the Internet, giving a client's webiste the ability to be viewed by other devices connected to the Internet.

To be viewed and achieve the intent of hosting, there are three required services that must be in place:

Hosting services refer to the provision of a server (a computer with special software) that is connected to the Internet and contains the software that handles the large amount of data required to enable a website to be viewed.

Hosting services are provided by a Hosting, or Server, Provider as Inphase Website Hosting & Design. As a Hosting Provider, it may also offer other services besides just the server.

The Hosting Provider is only responsible for the services it provides and not for the user's personal activities, except how those activities affect the server and services to other clients.

 

Securing Hosting Services

You may shop for hosting services by visiting Inphase's website at https://www.inphasehosting.com.

You may order Inphase hosting services via phone call, email, contact form, or website by creating a personal account with Inphase. You are welcome to give your contact information to Inphase and Inphase will create your account for you. Then when you are ready, you can purchase the services you desire, or ask Inphase for assistance.

Subject to the terms of this policy, and contingent on your satisfaction of Inphase’s credit approval requirements, Inphase agrees to provide the web hosting services described in the Order for the fees stated in the Order.

 

Lawful Use of Inphase Hosting Services

The customer agrees to use Inphase hosting products and services in compliance with applicable law and Inphase’s Acceptable Use Policy which is hereby referenced in this agreement. 

The customer agrees that Inphase may, in its reasonable commercial judgment consistent with industry standards, amend the AUP and this policy from time to time to further detail or describe reasonable restrictions and conditions on your use of the products and services. 

Amendments to the AUP and the Website Hosting Policy are effective on the earlier of Inphase’s notice to you that an amendment has been made, or the first day of any Renewal Term that begins subsequent to the amendment. Notice may be made by email or posting on the website.

You agree to cooperate with Inphase’s reasonable investigation of any suspected violation of the Website Hosting Policy. In the event of a dispute between Inphase and the customer regarding the interpretation of this policy, Inphase’s commercially reasonable interpretation of Inphase Website Hosting & Design Policies shall govern.

 

Payments for Hosting Services

Fees. Fees are payable in advance on the first day of each billing cycle.  Customer’s billing cycle shall be a calendar month or twelve calendar months, as indicated on the Order. The first service fee my include a prorated portion of the monthly fee for the first partial month of service plus the fee for the first full billing cycle. Inphase may require payment in full of the first fee before beginning service. If the Order provides for credit/debit card billing, Customer authorizes Inphase to bill subsequent fees to the credit/debit card on or after the first day of each billing cycle during the Term of this Agreement; otherwise Inphase will invoice Customer via electronic mail to the Primary Customer Contact listed on the Order.  Invoiced fees may be issued on or before the 1st day of each billing cycle, and the fees shall be due on the 1st day of the month, but in no event earlier than the first day of each billing cycle.

Payments must be made in United States dollars. Customer is responsible for providing Inphase with changes to billing information (such as credit card expiration, change in billing address)   At its option, Inphase may accrue charges to be made to a credit/debit card until such charges exceed $10.00. Inphase may charge interest on overdue amounts at the lesser of 15% per month or the maximum non-usurious rate under applicable law.  Inphase may suspend the service without notice if payment for the service is overdue.  Fees not disputed within sixty (60) days of due date are conclusively deemed accurate.  Customer agrees to pay Inphase’s reasonable reinstatement fee following a suspension of service for non-payment, and to pay Inphase’s reasonable costs of collection of overdue amounts, including collection agency fees, attorney fees and court costs. 

Fee Increases.  Inphase may increase its fees for services effective the first day of a Renewal Term by giving notice to Customer of the new fees at least forty five (45) days prior to the beginning of the Renewal Term, and if Customer does not give a notice of non-renewal as provided in Section 2 above, the Customer shall be deemed to have accepted the new fee for that Renewal Term and any subsequent Renewal Terms (unless the fees are increased in the same manner for a subsequent Renewal Term).

Taxes.  At Inphase’s request, Customer shall remit to Inphase all sales, VAT or similar tax imposed on the provision of the services (but not in the nature of an income tax on Inphase), regardless of whether Inphase fails to collect the tax at the time the related services are provided. 

Early Termination.  Customer acknowledges that the amount of the fee for the service is based on Customer’s agreement to pay the fee for the entire Initial Term, or Renewal Term, as applicable. In the event Inphase terminates the Agreement for Customer’s breach of the Agreement in accordance with Section 9 (Termination), or Customer terminates the service other than in accordance with Section 9 (Termination) for Inphase’s breach, the unpaid fees for each billing cycle remaining in the Initial Term or then-current Renewal Term, as applicable, are due on the business day following termination of the Agreement. 

 

Suspension/Termination/Cancellation of Services

Three are four things that could cause a hosting account to be suspended, terminated, or cancelled:

Inphase may suspend the hosting account until the problem is fixed, or terminate the account before the expiration date if it finds the use of the services in violation of any appliciple laws.

Inphase reserves the right to suspend the client's account, rendering the website inactive and unable to be viewed on the Internet. It also holds the right to charge a fee to reactivate the account to normal status.

 

Disclaimer to Hosting Policy

Inphase does not gurantee nor make any promises that the hosting services it provides will guarantee any visitors will view the client's website or any monetary success will be achieved from the client's website.

Websites are static html coded web pages and styled with CSS rules. They must have other scripts, coding languages, and/or thrid party software to make them dynamic. They are subject to good marketing practices and must be promoted to make Internet users aware of them. There are many factors that work together to make a website successful.

Inphase desires and attempts to provide the best hositng services for the client, helping the client to have a successful online business. But Inphase cannot be held responsible for any neglect or misuse of those services by the client or any other user of the services.
